Terms of Service
These are the rules for using GROUNDWORK. By creating an account or using the service, you agree to them. If you don't, please don't use the service.
1. What GROUNDWORK is
GROUNDWORK is a software product for independent trade contractors to create invoices, manage clients, and (in the future) handle estimates, receipts, and mileage. We provide the tools; you operate the business.
2. Your account
- You must be at least 18 years old and able to enter into a contract.
- You're responsible for your password and anything done under your account.
- One person per account. Don't share logins.
- Tell us if your account is compromised.
3. Acceptable use
You agree not to:
- Use the service for anything illegal or fraudulent (including fake invoices).
- Send spam, threats, or harassment through the SMS/email handoff.
- Reverse-engineer, scrape, or attempt to bypass any technical limit (rate limits, paywalls, the public-link UUIDs).
- Resell access to GROUNDWORK without our written agreement.
4. Your content
You own the data you put into GROUNDWORK — your invoices, client list, services, business profile, all of it. By using the service, you give us a limited license to store, transmit, and display that data only to the extent needed to operate the service for you and the people you invoice.
5. Sending messages
When you tap “Send by Text” or “Send by Email,” GROUNDWORK opens your phone's SMS or mail app with the message pre-filled. We don't send messages on your behalf — you do. You are responsible for following telemarketing and anti-spam laws (TCPA, CAN-SPAM, CASL, and any others that apply where you operate).
6. Subscriptions and billing
Some features are part of a paid plan (Pro). If you subscribe, you authorize us to charge the payment method on file at the start of each billing cycle. You can cancel any time from More → Subscriptions; cancellation takes effect at the end of the current cycle. We don't offer pro-rated refunds for partial cycles unless required by law.
7. Disclaimers
GROUNDWORK is provided “as is.” We do our best to keep it running and accurate, but we don't guarantee uptime, that invoices will be delivered, or that the OCR / autocomplete will be error-free. We're not your accountant, tax advisor, or attorney; nothing in the product is legal, tax, or financial advice.
8. Limit of liability
To the maximum extent allowed by law, GROUNDWORK is not liable for indirect, incidental, or consequential damages (lost revenue, lost data, missed payments). Total liability for any direct claim is limited to the amount you paid us in the prior 12 months.
9. Termination
You can stop using the service at any time and request account deletion via email. We can suspend or terminate accounts that violate these terms. After termination, we may keep backups for up to 30 days before deletion.
10. Changes
We may update these terms. We'll change the “last updated” date and, for material changes, notify you in the app or by email. Continued use after the change means you accept it.
11. Governing law
These terms are governed by the laws of [STATE/PROVINCE TO BE FILLED IN BEFORE LAUNCH], without regard to conflict-of-laws rules. Disputes go to the courts located in that jurisdiction.
